1. Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User" or "you") and Handio Inc. ("Company," "we," "our," or "us"), which operates the Handio platform, websites, mobile applications, and related services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms. Our Acceptable Use Policy, Privacy Policy, and any other policies are incorporated by reference and form part of your agreement with us.
2. Description of Service
Handio provides an AI-powered marketplace platform that connects customers seeking urgent home repair services with qualified handymen. The Service includes:
- Mobile and web applications for submitting repair requests
- AI-powered photo analysis and job categorization
- Real-time job broadcasting and matching
- GPS tracking and in-app communication
- Two-sided review and rating system
- Handyman subscription management
The Service operates as a marketplace platform. Handio is not a home repair service provider and does not employ handymen. We provide the technology platform that facilitates connections between customers and independent handymen.
3. License to Use the Service
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service in accordance with your role (customer or handyman) and subscription level.
Any use of the Service in violation of these Terms is unauthorized and will automatically terminate this license.
4. User Accounts and Roles
Eligibility
To use our Service, you must:
- Be at least 18 years old
- Have the legal capacity to enter into binding agreements
- Comply with all applicable laws and regulations
- Not be prohibited from using the Service under U.S. law or sanctions
Account Creation
You must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
User Roles
Users may act as customers (requesting services), handymen (providing services), or both. Each role has specific requirements and obligations described in these Terms.
Account Responsibilities
You agree to notify us immediately of any unauthorized use of your account and to ensure you log out from your account at the end of each session. You are responsible for all activity under your account.
5. Acceptable Use Policy
For the complete acceptable use terms, see our Acceptable Use Policy. You must not use the Service to violate laws, infringe rights, or engage in harmful, deceptive, or abusive behavior. Acceptable Use Policy.
6. Handyman Subscriptions
Subscription Requirement
Handymen must maintain an active subscription to receive job alerts and accept customer requests. Subscription fees are non-refundable except as required by law.
Subscription Features
Active subscriptions include:
- Unlimited job alerts in your service area
- Ability to accept customer requests
- Profile visibility to customers
- Access to rating and review system
- In-app communication tools
No Commission Fees
Handio does not take commission on payments between customers and handymen. You keep 100% of what customers pay you for your work. The subscription fee grants access to the platform and job leads.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will not receive a prorated refund for the remainder of the period.
7. Customer Use
Free for Customers
The Service is free for customers. You pay handymen directly for their work. Handio does not charge platform fees, booking fees, or service charges to customers.
Service Requests
You may submit service requests through the app by providing photos, descriptions, and location information. You agree to provide accurate information about your repair needs and location.
8. Job Requests and Matching
Broadcast Matching
When a customer submits a request, our AI analyzes it and broadcasts it to eligible handymen within the specified radius. The first handyman to accept receives the job.
No Guarantee of Matching
We do not guarantee that any particular request will be accepted or that a handyman will be available. Matching depends on handyman availability, location, and other factors beyond our control.
AI Classification
Our AI analyzes photos and text to categorize requests and provide estimates. This is for informational purposes only and does not constitute a quote, guarantee, or binding agreement.
9. Payments and Billing
Direct Payments
In our current version, customers pay handymen directly for work performed. Handio does not process, escrow, or guarantee these payments. The payment arrangement is solely between the customer and handyman.
Subscription Payments
Handyman subscriptions are processed through Stripe. Payments are non-refundable. Subscriptions auto-renew until canceled.
Payment Disputes
Handio is not responsible for disputes between customers and handymen regarding payment for work. You agree to resolve such disputes directly.
10. Reviews and Ratings
Two-Sided Reviews
Both customers and handymen may leave reviews and ratings after job completion. Reviews must be honest, accurate, and based on your actual experience.
Prohibited Review Conduct
You must not:
- Post fake, fraudulent, or misleading reviews
- Post reviews in exchange for payment or other consideration
- Post reviews containing offensive, defamatory, or inappropriate content
- Review yourself or have others review you to manipulate ratings
Review Moderation
We reserve the right to remove reviews that violate these Terms or our Acceptable Use Policy. We may investigate reports of fake or abusive reviews and take appropriate action.
11. AI-Generated Content
AI Analysis
Our Service uses artificial intelligence to analyze photos, categorize problems, suggest solutions, and provide estimates. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing AI outputs and making your own decisions.
No Warranty on AI Output
We provide AI-generated content "as is" without warranties. We do not guarantee accuracy, completeness, or suitability for any purpose.
12. No Professional Advice
Handio provides a technology platform only. We do not provide professional home repair advice, recommendations, or warranties about specific repair solutions. You are solely responsible for evaluating the qualifications of handymen and the quality of work performed.
13. Intellectual Property Rights
Your Content
You retain ownership of photos, descriptions, and other content you submit. By submitting content, you grant us a license to use, store, and display it for purposes of providing the Service.
Our Platform
The Service, including its software, technology, AI models, and branding, is protected by intellectual property laws. We retain all rights, title, and interest in the Service.
Job Photos and Privacy
Photos submitted with job requests may be visible to handymen for job evaluation purposes. Reviews and photos may be publicly visible as part of profiles and job history.
14. Privacy and Data Collection
We collect and process personal information as described in our Privacy Policy. This includes location data, photos, contact information, and usage data necessary to operate the Service.
Location Sharing
The Service requires location access to match customers with nearby handymen and to provide real-time tracking during jobs. You may control location permissions through your device settings.
15. Third-Party Services
The Service integrates with third-party services including Stripe (payments), AWS (storage), and mapping services. We do not control third-party services. Your use of third-party services is governed by their terms.
16. Termination
Termination by You
Customers may delete their account at any time. Handymen may cancel their subscription through account settings. Access continues until the end of the current billing period.
Termination by Us
We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or for any other reason permitted by law.
Effect of Termination
Upon termination, your access ceases immediately. We may delete account data after a reasonable retention period, except as required by law.
17. Disclaimers and Limitation of Liability
Platform Only
HANDIO IS A TECHNOLOGY PLATFORM ONLY. WE DO NOT EMPLOY HANDYMEN, PERFORM REPAIRS, OR GUARANTEE THE QUALITY OF WORK. ALL WORK IS PERFORMED BY INDEPENDENT CONTRACTORS.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE HANDYMAN AVAILABILITY, RESPONSE TIMES, QUALITY OF WORK, OR THAT YOU WILL BE MATCHED WITH A HANDYMAN.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING DAMAGES RELATED TO WORK PERFORMED BY HANDYMEN, PROPERTY DAMAGE, OR PERSONAL INJURY.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE LESSER OF (A) $100 USD OR (B) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow limitation of liability. In such cases, our liability will be limited to the greatest extent permitted by law.
18. Indemnification
You agree to indemnify, defend, and hold harmless Handio and its affiliates from any claims, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Service or violation of these Terms
- Work performed by or for you through the Service
- Disputes between customers and handymen
- Your content, including photos and descriptions
- Infringement of third-party rights
19. Governing Law and Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Dispute Resolution
Before initiating legal action, you agree to attempt informal resolution by contacting us in writing. If unresolved within 30 days, disputes will be resolved by binding arbitration under AAA Commercial Arbitration Rules.
YOU AGREE THAT DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS ACTION. YOU WAIVE ANY RIGHT TO A JURY TRIAL.
20. General Provisions
Changes to Terms
We may update these Terms from time to time. We will notify you of material changes. Continued use constitutes acceptance of updated Terms.
Severability
If any provision is found unenforceable, the remaining provisions remain in full force.
Entire Agreement
These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Handio.
Assignment
You may not assign these Terms without our consent. We may assign these Terms without restriction.
No Waiver
Our failure to enforce any provision will not be deemed a waiver.
